You can create a Codatis vendor account (“Vendor Account”) through the Vendor Portal. To set up a Vendor Account, you will need to provide your email address. You are responsible for safeguarding the security and confidentiality of your Vendor Account details. You agree that you are entirely responsible for any losses suffered by us or any other user or visitor to the Services due to someone else accessing your Vendor Account because you did not maintain the security and confidentiality of your account information. It is a prerequisite for using the Services that all the information you provide for your Vendor Account is current, accurate, and finalized.
You will be accountable for all uses of the Services that arise from access granted by you, either directly or indirectly, regardless of whether such access or usage is allowed or violates this Agreement. Without limiting the broadness of the previous statement, you are accountable for all actions and failures to act of anyone authorized to access or use the Services on your behalf (“Authorized User(s)”); any action or failure to act by an Authorized User that would be considered a violation of this Agreement if performed by you will be regarded as a violation of this Agreement by you. You will make reasonable efforts to ensure that all Authorized Users are aware of the provisions of this Agreement as they apply to that Authorized User’s use of the Services, and you will ensure that Authorized Users abide by them.
All forms of information, data, and material that any User uploads, shares, inputs, or submits in relation to the Services will be referred to as “User Content”. You are entirely accountable for your User Content. You accept all risks linked to the use of your User Content, including any reliance on its accuracy, completeness, or usefulness by others, as well as any exposure of your User Content that personally identifies you or any third party. You agree not to submit any User Content that violates any fiduciary duty, obligation of confidentiality, or contractual commitment. You bear full responsibility for any User Content and other information that you (or any of your Authorized Users) share with Codatis, whether through the Services or otherwise. You should inform Codatis if you become aware that the Services are being utilized for any unlawful or unauthorized activities.
You maintain ownership of User Content and hereby grant (and confirm that you possess the right to grant) to Codatis and its affiliates a nonexclusive, transferable, royalty-free, perpetual, irrevocable, fully paid, global, and unrestricted license to utilize and reproduce your User Content as reasonably necessary to provide the Services. To clarify, Codatis will not share, reveal, or utilize source code contained in User Content for the advantage of any third party, except as required to maintain and enhance the provided Services.
You, by this means, irrevocably waive (and agree to ensure the waiver of) any claims or assertions of moral rights or attribution regarding your User Content. Binding Arbitration and Class Action Waiver for Residents of the United States. We sincerely hope to avoid any disputes; however, if one arises, both you and we agree to attempt an informal resolution for 60 days following the receipt of a Notice of Dispute. If a resolution isn’t reached, both you and we agree to submit to binding individual arbitration through the American Arbitration Association (“AAA”) in accordance with the Federal Arbitration Act (“FAA”), instead of pursuing a lawsuit in court before a judge or jury. Instead, a neutral arbitrator will make the determination, and the arbitrator’s ruling will be final, subject only to a limited right of review as allowed by the FAA. To the maximum extent allowed by law, class action lawsuits, class-wide arbitrations, private attorney-general actions, requests for public injunctions, and any other actions or requests for relief where someone acts in a representative capacity are prohibited. If any provision of these Terms of Service is deemed invalid, illegal, or unenforceable by a court or competent authority for any reason, that provision shall be removed or limited to the extent necessary so that the remaining provisions of the Terms of Service remain in full effect.
